These terms govern your access to and use of the eAutomate platform and all associated services provided by Etellect Ltd. Please read them carefully before using our services.

These Terms of Service apply to all use of the eAutomate platform and any services provided by Etellect Ltd. By:
...you confirm that you have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent, and that you agree to be bound by these terms and our Privacy Policy and Cookie Policy.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you must not use our services.
Etellect Ltd provides eAutomate as a Solution as a Service — a fully integrated, cloud-delivered platform combining software and Etellect expertise. The platform includes, but is not limited to:
We reserve the right to add, modify, or discontinue features of the platform at any time. Where changes materially affect your use of the platform, we will provide reasonable notice.
We aim to maintain a platform uptime of 99.9% measured monthly, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance wherever possible.
To access the eAutomate platform you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for notifying us promptly of any changes.

We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
Your subscription permits access by the number of Authorised Users specified in your Order Form. You must not permit access by more users than your subscription allows. Additional user access may be available — please contact us for details.
You agree to use the eAutomate platform and all Etellect services only for lawful business purposes and in accordance with these terms. You must not:
Etellect reserves the right to suspend or terminate access immediately where we reasonably believe a breach of this section has occurred.
eAutomate is offered on a volume-based subscription model priced per active customer. Your subscription tier, volume, and pricing are set out in your Order Form. Current pricing is available at eautomate.com/pricing.
Subscription fees are invoiced in advance, on a monthly or annual basis as agreed in your Order Form. Payment is due within 30 days of the invoice date unless otherwise agreed in writing. All fees are exclusive of VAT, which will be added at the applicable rate.
Invoices not settled within the agreed payment terms may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend access to the platform until outstanding invoices are paid.
We reserve the right to change subscription pricing with a minimum of 90 days' notice provided in writing. Price changes will not take effect until the start of your next renewal period after the notice period has expired.
Subscription fees are non-refundable except where required by law, or where Etellect has materially failed to deliver the contracted services. Any refund requests should be directed to accounts@etellect.com within 14 days of the relevant invoice date.
If your active customer volume exceeds the tier purchased, we will notify you and work with you to agree an appropriate tier upgrade. Continued use at a higher volume without upgrading may result in automatic billing at the applicable higher-tier rate.
eCare is an optional add-on service providing dedicated Etellect consultant days per month to support, manage, and continuously improve your eAutomate deployment. eCare terms are as follows:
The scope of eCare services — including the number of consultant days, service tiers, and deliverables — is defined in your eCare Order Form or Statement of Work. Etellect will use reasonable endeavours to deliver the services as described.
eCare is priced on a per-day-per-month basis. Current day rates are published at eautomate.com/pricing. Volume discounts apply at higher day commitments.
Unused consultant days do not roll over to the following month unless agreed in writing in the applicable Order Form.
To enable effective delivery of eCare services, the Customer agrees to provide timely access to relevant systems, personnel, and information as reasonably requested by Etellect. Delays caused by the Customer will not count against Etellect's service obligations.
The eAutomate platform, including all software, code, algorithms, designs, trademarks, brand assets, documentation, and Applied Intelligence models, is and remains the exclusive intellectual property of Etellect Ltd. These terms grant you a limited, non-exclusive, non-transferable licence to access and use the platform solely for your internal business purposes during your subscription period.
You retain full ownership of all Customer Data you input into the platform. You grant Etellect a limited licence to access, process, and store your Customer Data solely for the purpose of delivering the services. We will not use your Customer Data for any other purpose.
If you provide suggestions, ideas, or feedback about the platform ("Feedback"), you grant Etellect a perpetual, irrevocable, royalty-free licence to use that Feedback to improve our products and services. You will not be compensated for Feedback.
You must not copy, modify, adapt, translate, create derivative works from, distribute, or sublicense any part of the eAutomate platform or Etellect's intellectual property without our prior written consent.
The collection and processing of personal data in connection with your use of eAutomate is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement (DPA).
In relation to personal data processed through the eAutomate platform on behalf of your organisation:
Where Etellect processes data for its own purposes (e.g. account management, billing, website enquiries), Etellect acts as the data controller.
Enterprise and eCare customers will be required to enter into a Data Processing Agreement (DPA) with Etellect prior to onboarding. Standard customers should contact privacy@etellect.com to request a DPA.
Both parties agree to comply with all applicable data protection legislation, including UK GDPR and the Data Protection Act 2018, in connection with the services.
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except:
"Confidential information" includes, but is not limited to, pricing, business plans, platform architecture, Customer Data, and any information designated as confidential by the disclosing party.
Confidentiality obligations survive termination of these terms for a period of 3 years.
To the maximum extent permitted by law, Etellect's total aggregate liability to you under or in connection with these terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of:

Except as expressly stated, the platform is provided "as is" and Etellect makes no representations or warranties of any kind, express or implied, including fitness for a particular purpose, beyond those set out in these terms.
Either party may terminate the subscription by providing written notice in accordance with the notice period specified in the Order Form. Unless otherwise stated, the standard notice period is 30 days for monthly subscriptions and 90 days for annual subscriptions.

Provisions that by their nature should survive termination — including confidentiality, intellectual property, liability, and governing law — will continue to apply.
These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Scotland.
The parties irrevocably agree that the courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim arising under or in connection with these terms.
Before commencing any formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation. Either party may escalate to formal proceedings if a dispute is not resolved within 30 days of written notice.

Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you should stop using the platform and notify us in writing.
